Terms of Service
Effective Date: 1st July 2025
1. Definitions and Interpretation
In this Agreement, unless the context otherwise requires:
- “Numex” refers to the Numex Accounting Software Platform operated by Jayset Consulting and Axon Information Systems.
- “Client” refers to any individual or entity subscribing to or using the Numex
- “Services” means the accounting software and any features, tools, applications, or services provided through Numex.
- “Agreement” refers to these Terms of Service and any other documents incorporated by reference.

2. Client Responsibilities
Clients agree to:
- Provide accurate and complete registration and account
- Use Numex services only for lawful business
- Maintain the confidentiality of their login
- Not use the platform for fraudulent, harmful, or unauthorized
- Comply with all applicable laws, including data protection and tax
Clients are solely responsible for:

3. Term and Termination
This Agreement remains in effect until terminated by either party.
- Clients may terminate their subscription at any time via account
- Numex may suspend or terminate access for violations of these Terms or applicable
- Upon termination, access to the platform may be revoked and data deleted in accordance with our retention policy.
4. Numex’s Rights and Responsibilities
Numex shall:
- Provide the Services with reasonable care and

5. Proprietary Rights
All intellectual property rights in the Services, software, and content (excluding Client data) remain the exclusive property of Numex or its licensors.
Clients may not:
- Reverse engineer, decompile, or attempt to extract source
- Copy, modify, or create derivative works based on the
- Use any trademarks or branding without prior written
6. Data Privacy and Security
Numex shall:
- Process personal data in accordance with the Ghana Data Protection Act, 2012 (Act 843), GDPR (where applicable), and our Privacy Policy.
- Implement appropriate technical and organizational measures to secure Client
Clients retain ownership of their data and grant Numex a limited license to use it solely for providing the Services.
7. Confidentiality
Both parties agree to maintain the confidentiality of non-public business, technical, or financial information disclosed during the term of this Agreement.
Exceptions include:
- Information already in the public
- Disclosure required by law or valid court
8. Disclaimer
The Services are provided on an “as is” and “as available” basis. Numex does not guarantee:
- The Services will be error-free or
- That defects will be
- That the Services will meet Client expectations or
To the maximum extent permitted by law, Numex disclaims all warranties, express or implied.
9. Indemnity
Clients agree to indemnify and hold harmless Numex, its officers, agents, and affiliates from any claims, losses, or damages arising from:
- Use of the Services in violation of these
- Breach of laws or third-party
- Inaccurate or misleading Client
10. Limitation of Liability
To the fullest extent permitted by law:
- Numex shall not be liable for any indirect, incidental, or consequential
- Our total liability shall not exceed the amount paid by the Client in the preceding 6

- Governing Law: This Agreement is governed by the laws of the Republic of
